[01] La Commission autorise Alcan (Canada) à racheter l'activité de Hydro
Aluminium dans le secteur des emballages souples
La Commission européenne a autorisé l'entreprise canadienne Alcan à
racheter FlexPac, la division de Hydro Aluminium spécialisée dans les
emballages souples. Bien que l'acquisition renforce la part détenue par
Alcan sur le marché européen des emballages souples, l'entreprise
australienne Amcor restera le numéro un du marché et d'autres acteurs
importants seront présents sur ce marché, notamment l'entreprise
autrichienne Teich et la société française Pechiney Soplaril.
[02] Commission clears Dutch joint venture between Pon and Nimbus
The European Commission has cleared the creation of a joint venture between
transport equipment products maker Pon Holdings BV and investment company
Nimbus Investment III BV, both based in the Netherlands.
[03] Commission clears joint purchase of French publisher Catherine Nemo
The European Commission has granted clearance under the Merger Regulation
to the acquisition of joint control of the French publisher Catherine Nemo
by Germany's Burda and Italy's Holding di Partecipazioni Industriali, both
active in the publication sector. Catherine Nemo publishes "Nouveau
Détective", a weekly magazine covering journalistic investigations, and
"Horoscope". (The operation, notified on 21 January 2003, was examined
under the simplified merger review procedure).
[04] Commission clears acquisition of SigmaKalon by Bain Fund
The European Commission has granted clearance under the Merger Regulation
to the acquisition by a number of subsidiaries of US-based Bain Capital
Investors group of some companies belonging to French company SigmaKalon
Group, which makes decorative coatings. French group TotalFinaElf, which
owns SigmaKalon, will retain the main holding company as well as a number
of companies of the said group. (The operation, notified on 21 Januray 2003,
was examined under the simplified merger review procedure).
[05] Impôt sur le capital des sociétés : la Commission a décidé d'assigner
l'Italie devant la Cour de Justice
La Commission européenne a décidé d'assigner l'Italie devant la Cour de
justice en raison du fait que l'Italie applique des mesures qui rendent
très difficile l'exercice du droit à remboursement d'une taxe que la Cour
de Justice a déterminé incompatible avec la Directive concernant les impôts
indirects frappant les rassemblements de capitaux (69/335/CEE).
[06] Loyola de Palacio salue l'accord entre la Grèce et la Turquie sur
l'interconnexion de leurs réseaux gaziers
Loyola de Palacio, vice-présidente de la Commission européenne en charge
des Transports et de l'Energie, s'est félicitée de la signature en marge du
Conseil informel Energie de Thessalonique de l'accord entre la Grèce et la
Turquie sur l'interconnexion de leurs réseaux gaziers. Initié par la
Commission en 2000, dans le cadre du programme INOGATE, cet accord
tripartite Commission-Grèce-Turquie est une contribution majeure à la
sécurisation des approvisionnements européens. Face à une importante
croissance de la demande de gaz naturel dans l'UE, la réalisation de cet
ouvrage devrait contribuer à garantir une offre de gaz naturel intéressante
en termes de prix que quantités. Loyola de Palacio a salué "les progrès
réalisés par les deux gouvernements qui avec le soutien de la Commission
européenne ont développé une véritable coopération commerciale entre leurs
compagnies gazières".
[07] EU and Morocco strengthen their relations
During their third Association Council held on 24 February, the European
Union and Morocco decided to intensify bilateral cooperation in the
framework of the Association Agreement through the establishment of six
strategic sub-committees on internal market ; industry, trade and services
; transport, environment and energy ; research and innovation ; agriculture
and fisheries ; and justice and security. The new sub-committees will have
the task of monitoring implementation of the partnership priorities and the
approximation of legislation. European External Relations Commissioner
Chris Patten said : "This is the first time such an ambitious and complex
network of committees has been established by the European Union with a
partner country of the South Mediterranean. Our dialogue had reached
maturity and definitely needed this new set of fora as a concrete and
pragmatic instrument to further deepen our relations. I hope this example
will be followed in our relations with other countries in the region."
