[01] Commission clears acquisition of De la Rue by Carlyle
The European Commission has granted clearance under the EU Merger
Regulation to the acquisition of sole control of De La Rue plc of the UK by
The Carlyle Group of the USA. Carlyle is a private equity investment group.
De La Rue is active in cash systems business: cash handling technology
solutions.The operation was examined under the simplified merger review
procedure.
[02] Commission clears joint venture between EMPIK and HDS
The European Commission has granted clearance under the EU Merger
Regulation to the acquisition of joint control of Empik Cafe Sp. z o.o, a
newly created company constituting a joint venture, by EMPIK of Poland,
wholly-owned subsidiary of EMF controlled by Eastbridge S.A.R.L., and HDS
of Poland, a wholly-owned subsidiary of Lagardère Services SA. EMPIK
operates the largest national network of retail culture and media stores in
Poland. HDS operates coffee bars under the brand Voyage Coffee in Poland.
The new company will take over coffee bars now operated by EMPIK and HDS
and will open new coffee bars inside EMPIK culture stores as well as stand-
alone coffee bars in other locations. The operation was examined under the
simplified merger review procedure.
[03] Commission clears acquisition of GEM Business by Santander
The European Commission has granted clearance under the EU Merger
Regulation to the acquisition of control of the undertakings: GE Money Bank
GmbH of Austria, General Electric Capital Deutschland GmbH of Germany, GE
Capital Bank Limited of the UK, GE Money Oy of Finland and GE Money Card
Services Limited of Ireland (together 'GEM Business') by Banco Santander
S.A. of Spain. Santander provides financial services. GEM Business is
active in financial services. The operation was examined under the
simplified merger review procedure.
[04] Commission clears acquisition of Interbanca by GE
The European Commission has granted clearance under the EU Merger
Regulation to the acquisition of sole control of Interbanca SpA of Italy by
General Electric Capital Corporation controlled by General Electric Company
(GE) of the US. GE is active in healthcare, energy, financial services,
media and infrastructure. Interbanca provides financial services. The
operation was examined under the simplified merger review procedure.

[06] Mergers: Commission approves proposed acquisition of Wrigley by Mars
The European Commission has cleared under the EU Merger Regulation the
proposed acquisition of sole control of Wrigley by Mars (both US-based
confectionary companies). The Commission has concluded that the proposed
transaction would not significantly impede effective competition in the
European Economic Area (EEA) or any substantial part of it.
[07] Mergers: Commission clears joint venture, between UPM-Kymmene RUS
Holdings Oy and B.R.I.S.T. Limited, in the Vologda region of Russia
The European Commission has cleared under the EU Merger Regulation the
proposed creation by Finnish UPM-Kymmene Corporation (UPM) and B.R.I.S.T.
Limited of Malta (BRIST), of a new joint venture operation, in which each
will have a 50% equity interest. The joint venture is to produce sawn
timber, OSB and pulp in the Vologda region of Russia, as of 2010 – 2012.
