  • [01] Commission opens detailed inquiry into merger between aluminium producers Alcoa and Reynolds

    The European Commission has decided to open a second phase investigation into the proposed merger between aluminium producers Alcoa and Reynolds that would create one of the largest integrated aluminium companies in the world. The Commission's initial investigation has identified a number of markets where the merger would raise serious doubts as to its compatibility with competition rules in the common market, but further investigation is needed. A final decision by the Commission is expected by early May 2000.

    [02] Commission clears a joint venture between Deutsche Bank and BHS Holding, a member of the group Metro

    The European Commission has decided to approve a joint venture between Deutsche Bank AG, Germany, and BHS Holding GmbH, Germany, which belongs to the group Metro. The joint venture will offer services including development and marketing for its clearing and payment systems and Back- Office service that are made for enterprises active in the Internet. The joint venture will carry out its activities mainly in the German-speaking areas. In view of the limited nature of the transaction and given the existence of a large number of competitors, the Commission decided to approve the transaction and to declare it compatible with the common market.

    [03] La Commission autorise l'acquisition de NT Holding par Nordic Capital et Trelleborg

    La Commission européenne a autorisé l'acquisition de l'entreprise suédoise NT Holding AB par Nordic Capital III Ltd et Trelleborg International B.V., qui appartiennent au groupe suédois Trelleborg. NT Holding AB est composée des sociétés Ahlsell AB, Bröderna Edstrand AB, Starckjohann Oyj et Reynolds European SAS, de leurs filiales et de leurs sociétés soeurs. L'acquisition ne conduira ni à la création ni au renforcement d'une position dominante et ne pose donc aucun problème en matière de concurrence.

    [04] Commission clears acquisition by AT&T of the Intesa network connectivity business

    The European Commission has cleared the acquisition by AT&T Corp. of the network connectivity business of Intesa, currently owned by IBM. AT&T provides a broad range of telecommunications services and Intesa offers managed telecommunications solutions services. The competitive assessment of this transaction has shown that the operation neither creates nor strengthens a dominant position.

    [05] La Commission autorise CVC Group à racheter les activités "fibres" d'Acordis

    La Commission européenne a autorisé la société d'investissement CVC Group à racheter à Akzo Nobel sa participation de contrôle dans les activités "fibres" d'Acordis L'opération ne soulève pas de problèmes sur le plan de la concurrence, car aucun des fonds d'investissement gérés par CVC ni aucune des sociétés dans lesquelles ce groupe détient une participation de contrôle n'exercent d'activités sur le marché des fibres industrielles ou sur un marché qui lui est étroitement lié. Par conséquent, la Commission a décidé de déclarer l'opération compatible avec le marché commun et l'accord Espace Economique Européen.

    [06] Commission authorises Mannesmann acquisition of Orange

    The European Commission has authorised, under the Merger Regulation, the acquisition by the German telecommunications and engineering group Mannesmann of the UK-based telecommunications operator Orange. The approval is subjected to the condition that Mannesmann sells its interests in Connect Austria, a mobile telephone operator in Austria.

    [07] Commission clears joint venture between Electrolux and Ericsson

    The European Commission has authorised an operation whereby Swedish companies AB Electrolux and Telefonaktiebolaget LM Ericsson will form a joint venture to define, develop and commercialize products, applications and services capable of communicating electronically with household appliances. There is no overlap between the fields of activity of the parent companies. The activities of the new joint venture will concern new products and services. The positions of Electrolux and Ericsson on the markets upstream and downstream of the intended fields of activity of the joint venture are not significant enough to raise competition concerns.

    [08] La Commission donne son feu vert au projet d'entreprise commune entre Lafarge et Readymix

    La Commission européenne a donné son feu vert au projet d'entreprise commune entre deux entreprises allemandes, Lafarge Beton GmbH, contrôlée par le groupe Lafarge, et Readymix Beton Rhein-Ruhr GmbH, appartenant au groupe Readymix. Ces deux entreprises sont actives dans les secteurs des matériaux de construction et en particulier du ciment et du béton à préparation rapide. L'entreprise commune nouvellement créée a pour objet la production et la vente du béton à préparation rapide dans la région allemande du Rhin-Ruhr. L'examen effectué par la Commission a indiqué que l'entreprise commune ne risque pas de représenter une entrave à la concurrence dans aucun de ces secteurs.

    [09] La Commission souhaite des règles plus sévères pour les substances indésirables dans l'alimentation animale

    La Commission européenne propose la révision des règles qui fixent les teneurs maximales admissibles en substances et produits indésirables dans les aliments des animaux et les matières premières pour ceux-ci. Les principales modifications à la Directive sont l'ajout des additifs des aliments des animaux, l'interdiction de dilution de matières premières pour aliments des animaux hautement contaminés, la suppression des dérogations et finalement la possibilité de définir des limites d'action. La gamme de substances couvertes par la Directive comprend e.a. l'arsenic, le plomb, le mercure, la DDT, la dioxine et quelques moutardes.

    [10] US-EU statement on the WTO

    The United States and the European Union consider the multilateral trading system one of the world's principal bulwarks of peace, sustainable development, and economic growth ; and a primary engine for rising living standards and broad-based prosperity in the future. As we approach the new century, we must ensure that the trading system retains its dynamism and ability to respond to changing needs of an increasingly diverse membership.

    [11] Romano Prodi nomme un nouveau chef de cabinet adjoint

    Suite à la nomination de M. Fabio Colasanti comme Directeur Général de la DG Entreprise, le Président de la Commission européenne, Romano Prodi, a nommé M. Stefano Manservisi au poste de chef de cabinet adjoint. M. Manservisi, fonctionnaire de la Commission de nationalité italienne, est à l'heure actuelle chef de cabinet du commissaire à la Concurrence, Mario Monti. Cette nomination prendra effet en janvier 2000.

    [12] Mario Monti appoints new Head and Deputy Head of Cabinet

    European Commissioner for Competition Mario Monti has appointed Mr Marc Van Hoof as his new Head of Cabinet and Mr Angelo Marcello Cardani as Deputy Head of Cabinet. Both were already members of his cabinet. These appointments will take effect from January 2000.
